What Do M&A Teams Do?

M&A teams advise on buying & selling companies. They help structure deals and guide clients through M&A the process. Day to day includes:

1. Valuation ⚖️

  • Finding the value of a company (sell-side) or a target (buy-side)

  • Valuation using discounted cash flow (DCF) analysis or comparable companies/transactions.

2. Due Diligence 🔎 

  • In a sell-side M&A process, investment banks create a Confidential Investment Memorandum to market the client’s business to buyers.

  • Confidential Investment Memos show the buyer:

    • the company’s business model

    • product / customer metrics

    • financial performance

    • valuation

3. Negotiation 🗣️

  • Assisting in M&A negotiations between the buyer and seller on key deal terms: pricing, structure, and financing of the deal.

4. Deal Execution ⚙️

  • Managing the details of executing the transaction, creating pitch books and building financial models for various stakeholders.
